1. Acceptance of Terms

Welcome to Winzing, operated by WINZONE TECHNOLOGY PRIVATE LIMITED ("Company," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your use of our website winzing.shop and our technology services.

By accessing or using our website and services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services. These Terms constitute a legally binding agreement between you and WINZONE TECHNOLOGY PRIVATE LIMITED.

2. Description of Services

Winzing provides comprehensive technology solutions including but not limited to:

• Software development and programming services
• Web application and website development
• Mobile application development
• Cloud infrastructure and migration services
• IT support and maintenance services
• Technology consulting and digital transformation
• Research and development services

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice.

3. User Eligibility

To use our services, you must:

• Be at least 18 years of age or have legal capacity to enter into contracts
• Provide accurate and complete information when requested
• Have the authority to bind your organization to these Terms (if applicable)
• Comply with all applicable laws and regulations

4. Service Agreements

4.1 Project Scope

All services provided by Winzing shall be governed by a separate service agreement or project proposal that outlines:

• Detailed project scope and deliverables
• Timeline and milestones
• Payment terms and pricing
• Technical specifications and requirements
• Acceptance criteria and testing procedures

4.2 Changes and Modifications

Any changes to the agreed scope of work must be documented in writing and agreed upon by both parties. Additional charges may apply for scope changes.

5. Payment Terms

5.1 Pricing and Invoicing

• All prices are quoted in Indian Rupees (INR) unless otherwise specified
• Invoices will be sent according to the agreed payment schedule
• Payment is due within 30 days of invoice date unless otherwise agreed
• Late payments may incur interest charges of 1.5% per month

5.2 Taxes

All applicable taxes, including but not limited to GST, will be added to invoiced amounts. Customers are responsible for any applicable withholding taxes.

5.3 Payment Methods

We accept payments via bank transfer, cheque, and approved digital payment methods. Credit card processing fees may apply.

6. Intellectual Property Rights

6.1 Ownership of Deliverables

Upon full payment, you will own the custom software, applications, or solutions developed specifically for you by Winzing. However, we retain ownership of:

• Pre-existing intellectual property and proprietary methodologies
• General knowledge, skills, and experience gained
• Reusable code components and frameworks
• Our brand, trademarks, and copyrighted materials

6.2 Third-Party Components

Solutions may include third-party libraries, frameworks, or tools subject to their respective licenses. You are responsible for complying with such license terms.

6.3 Source Code

Source code will be provided upon project completion and full payment, unless otherwise specified in the service agreement.

7. Confidentiality

Winzing acknowledges that you may share confidential information with us. We agree to:

• Maintain strict confidentiality of your proprietary information
• Use confidential information solely for providing contracted services
• Implement appropriate security measures to protect your data
• Not disclose confidential information to third parties without consent
• Return or destroy confidential information upon request

8. Warranties and Disclaimers

8.1 Service Warranty

Winzing warrants that services will be performed in a professional manner consistent with industry standards. We provide a 90-day warranty on delivered software for defects in workmanship.

8.2 Disclaimer of Warranties

Except as expressly stated, all services are provided "as is" without warranties of any kind. We disclaim all implied warranties including merchantability, fitness for a particular purpose, and non-infringement.

8.3 Third-Party Services

We are not responsible for the performance, availability, or security of third-party services, platforms, or tools integrated into your solution.

9. Limitation of Liability

To the maximum extent permitted by law:

• Winzing's total liability shall not exceed the amount paid for the specific service
• We are not liable for indirect, incidental, consequential, or punitive damages
• We are not liable for loss of profits, data, business opportunities, or reputation
• Our liability for any claim must be asserted within one year of the claim arising

10. Support and Maintenance

10.1 Post-Delivery Support

We provide limited support for 30 days after project delivery at no additional cost. Extended support and maintenance services are available under separate agreements.

10.2 Bug Fixes

We will fix bugs in delivered software at no cost during the warranty period, provided they are not caused by:

• Modifications made by you or third parties
• Use outside the intended scope
• Integration with incompatible systems
• Environmental factors beyond our control

11. Data Protection and Privacy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy. By using our services, you also agree to our Privacy Policy.

You are responsible for ensuring you have appropriate rights and consents to share any personal data with us for processing in connection with our services.

12. Termination

12.1 Termination by Either Party

Either party may terminate a service agreement with 30 days written notice. Immediate termination is allowed in cases of:

• Material breach of these Terms
• Non-payment of invoices
• Insolvency or bankruptcy
• Violation of applicable laws

12.2 Effect of Termination

Upon termination:

• You must pay for all work completed up to the termination date
• We will deliver work completed as of the termination date
• Confidentiality obligations continue indefinitely
• Each party returns or destroys the other's confidential information

13. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including but not limited to natural disasters, government actions, labor strikes, internet outages, or pandemics.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of India. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts in Gurugram, Haryana, India.

15. Dispute Resolution

15.1 Negotiation

Parties agree to attempt resolution of disputes through good faith negotiation before pursuing legal action.

15.2 Arbitration

If negotiation fails, disputes may be resolved through binding arbitration under the Arbitration and Conciliation Act, 2015, with arbitration conducted in Gurugram, Haryana.

16. Modifications to Terms

We reserve the right to modify these Terms at any time. Updated Terms will be posted on our website with the revised effective date. Continued use of our services constitutes acceptance of modified Terms.

For existing service agreements, modifications will not affect the terms of those specific agreements unless mutually agreed upon in writing.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Invalid provisions will be replaced with enforceable provisions that most closely reflect our original intent.

18. Entire Agreement

These Terms, together with any service agreements and our Privacy Policy, constitute the entire agreement between you and Winzing. They supersede all prior negotiations, representations, or agreements relating to the subject matter.
